Company Formation & Registration

Registration

A company must be registered with the Registrar of Companies before coming into existence.

The notes identify:

  • Companies House Cardiff — England & Wales.
  • Companies House Edinburgh — Scotland.
  • Companies House Belfast — Northern Ireland.

Documents

Registration requires, among other things:

  • Memorandum of Association
    • Confirms subscribers wish to form the company.
    • Subscribers agree to become members.
  • Articles of Association
    • Internal rules of the company.
    • Cover matters such as:
      • Directors.
      • Shareholder rights.
      • Meetings.
      • Voting.
      • Proxy votes.
  • Statement that shareholder liability is limited.
  • Company objects/business activities.
  • The notes state that company objects are now effectively unlimited, allowing any legal business activity.

Application Form — IN01

Basic information includes:

  • Proposed company name.
  • Country of registration.
  • Private or public company status.
  • Statement of capital and initial shareholdings.
  • Total number and nominal value of shares.
  • Founding members.
  • Directors and company secretary, where applicable.
  • Registered office address.
  • Statement of compliance.
  • Registration fee.
